Terms of Use
Welcome to NinjaWatcher. By using our website, software, or services (“Service”), you agree to these Terms of Use. If you are using the Service on behalf of a minor, you represent that you are their parent or guardian and accept these terms on their behalf.
1. Acceptance of terms
By creating an account, downloading our software, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these terms. If you are using the Service to supervise a minor's device use, you represent that you are that minor's parent or legal guardian.
3. Account and registration
You must provide accurate and complete information when you register. You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately if you suspect unauthorized use.
4. Use of the service
You may use NinjaWatcher only for lawful, personal, non-commercial purposes to protect your own or your family's devices. You agree not to:
- Circumvent, disable, or attempt to bypass any tamper-protection, licensing, or access controls
- Resell, redistribute, or sublicense the Service or use it to build a competing product
- Use the Service in any way that violates applicable law or the rights of others
- Reverse engineer, decompile, or disassemble the software except as permitted by law
Our Acceptable Use Policy provides further rules and applies to your use of the Service.
5. Subscription and billing
Paid plans (Individual and Family) are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law or as we may agree in writing. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance.
Free plans may be modified or discontinued with notice. We reserve the right to limit or suspend access for abuse or non-payment.
6. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT FILTERING WILL CATCH ALL INAPPROPRIATE OR HARMFUL CONTENT. YOU REMAIN RESPONSIBLE FOR SUPERVISING YOUR FAMILY'S DEVICE USE. WE ARE NOT LIABLE FOR ANY HARM RESULTING FROM CONTENT VIEWED OR ACCESSED DESPITE USE OF THE SERVICE.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINJAWATCHER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100 IF GREATER).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the fullest extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless NinjaWatcher and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
9. Intellectual property
NinjaWatcher and its content, features, and functionality (including software, design, and branding) are owned by us or our licensors and are protected by copyright, trademark, and other laws. You do not acquire any ownership rights by using the Service. You may not use our trademarks or logos without our prior written consent.
10. Termination
We may suspend or terminate your account and access to the Service at any time for violation of these Terms, non-payment, or for any other reason we deem appropriate. You may close your account at any time. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, and indemnification) will survive termination.
11. Disputes and governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You waive any right to a jury trial and to participate in a class action.
12. General
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and NinjaWatcher regarding the Service. Our failure to enforce any right or provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our consent.
13. Changes
We may update these Terms from time to time. We will post the updated terms on this page and update the “Last updated” date. If changes are material, we may notify you by email or through the product. Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.
